GSK Stockmann advises LAIQON AG in relation to the acquisition of the portfolio management of a Luxembourg investment fund of the MainFirst Group

GSK Stockmann provided advice on all Luxembourg regulatory law aspects with respect to the acquisition of the portfolio management services from the MainFirst Group by LAIQON AG pertaining to multiple sub-funds of a Luxembourg investment fund which has been incorporated as an undertaking for collective investments in transferable securities pursuant to part I of the Luxembourg law relating to undertakings for collective investments (the “Fund”).

The transaction is subject to the necessary regulatory approvals, in particular by the CSSF (Luxembourg) and FINMA (Switzerland).

The GSK Stockmann team from Luxembourg, led by Corinna Schumacher, was in charge of a detailed due diligence on the Fund and in particular the sub-funds concerned from a Luxembourg corporate and regulatory point of view (including AML/CFT aspects) to mitigate potential risks from a portfolio management perspective. GSK Stockmann also assisted with drafting a comprehensive framework agreement with various companies of the MainFist Group and the LAIQON Group from a Luxembourg perspective and drafted the respective novation agreements.
